NAME
This organization shall be named the Bluebonnet Miata Club.
CHAPTER OBJECTIVES
The Bluebonnet Miata Club is dedicated to the enjoyment of and the advancement of knowledge pertaining to the Mazda MX-5 Miata sports car and related MX-5 Miata events. The club encourages the exchange of information about the MX-5 Miata by providing a vehicle for communication among MX-5 Miata owners and aficionados.
MEMBERSHIP
Membership in the Bluebonnet Miata Club is open to any individual regardless of race, color, sex, creed, age, disability or national origin. Membership is secured by submitting a properly filled out application form and dues paid to the Membership Chairman. Members shall be at least 16 years of age, possess a valid drivers license and comply with Texas financial responsibility/liability insurance laws. Membership is based on payment of membership dues and each membership is allowed one vote (for elections and business matters). Ownership of a MX-5 Miata is required for initial membership.
FINANCES
Dues shall be established by vote of the Executive Committee. Changes to the dues structure shall also be made by vote of the Executive Committee. Both the Treasurer and the President shall have signatory authority for Club financial matters. However, only one signature is required when a check is written.
Purchases made by the club shall be decided on by the executive committee by majority vote.
MEETINGS
a. Monthly Meetings: A monthly meeting shall be held on the fourth Tuesday of every month throughout the year, except December. The meeting location shall be decided by the president.
b. Business Meeting: There shall be an annual business meeting of the Club in November of every year. The time and place of the annual business meeting shall be announced to the Club members {no} less than 30 days prior to the scheduled meeting. Election of executive committee members shall occur at the annual business meeting.
c. Special Business Meeting: The Executive Committee may call a special business meeting, at any monthly meeting, where a meeting is necessary to vote on amendments to the bylaws. The Special business meeting shall be announced to the Club members no less than 30 days prior to the scheduled meeting
d. Other Meetings: The Club shall meet no less than six times per year, including the annual business meeting. Members may meet under the name of the Club at any time or place, provided that the Club President and Secretary are notified and a meeting summary and/or run sheet is delivered to the Secretary.
NEWSLETTER
A Club Newsletter shall be published no less than six times per year. The Newsletter Editor shall have final discretion over content of the newsletter with the exception of official notices.
OFFICERS
The Bluebonnet Miata Club and its Executive Committee officers, as defined below, shall not be held responsible/liable for the actions of any of its members. All Executive Committee officers {must be current on membership dues.
Elected Executive Committee officers of the Club shall consist of a President, Vice-President, Treasurer, Secretary, and immediate preceding president.
The Vice-President shall become President if that office becomes vacant. Other vacant offices shall be appointed by the Executive Committee for the unexpired term. Any officer who fails to attend two consecutive Club meetings, executive committee meetings, or fails to perform the duties of the office may be recalled by the Executive Committee.
Each officer of the executive committee receives one vote in voting matters. If one officer holds two offices that person still receives only one vote. Appointed positions are nonvoting positions.

NOMINATIONS AND ELECTIONS
The Nominating Committee shall be composed of three members appointed by the Executive Committee in the August Monthly Meeting. The Nominating Committee shall set criteria for selection of nominees. Criteria should include willingness to devote time and effort to the Club. The Nominating Committee shall present its recommendations at the Club meeting at the October monthly meeting preceding the annual business meeting. At the same time members may nominate additional candidates for inclusion in the slate of nominees.
The election of executive committee officers shall be at the annual business meeting of the club in November. The Executive Committee shall be elected by a majority vote of those members present at the meeting. Each member receives one (1) vote.
AMENDMENTS
Club By-Laws may be amended by a 60% majority vote of the members in attendance at the annual business meeting, or special business meeting called by the Executive Committee.
The executive committee shall announce and publish the proposed changes to the bylaws to the general membership no less than 30 days prior to such meeting.
OFFICIAL NOTICES
The executive committee shall make official notices to the club at a monthly meeting or electronically via email. The Secretary will maintain the email list of current club members and use it to send official notices to members.
SUB-COMMITTEES
The President may form sub-committees, as needed, as long as it does not conflict with the bylaws. The President will notify the Executive Committee of any sub-committees formed
USE OF BLUEBONNET MIATA CLUB NAME, IMAGE, LIKENESS, AND LOGO
The club's name, image, logo other likenesses are the sole property of the club. No other person whether member, non-member or other entity may use them to establish a financial or other business account without the written consent of the executive committee.
